By accessing or using GearHead ("the Service"), operated by Media Mechanic LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

We reserve the right to modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the updated terms.

GearHead is an AI-powered business assistant that helps users manage communications, projects, calendars, documents, and integrations with third-party services. The Service may include features such as:

3. User Accounts

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Notifying us immediately of any unauthorized access

5. SMS/Text Messaging Terms

By providing your phone number and opting in to receive text messages from GearHead AI, you agree to the following:

Program Description: GearHead AI sends SMS notifications related to your account, including reminders, alerts, appointment confirmations, and service updates.

Consent: By entering your phone number during signup or by texting START to our number, you expressly consent to receive automated text messages from GearHead AI at the phone number provided. Consent is not a condition of purchase.

Message Frequency: Message frequency varies based on your account activity and notification preferences.

Message and Data Rates: Message and data rates may apply. Check with your mobile carrier for details.

Opt-Out: You may opt out at any time by texting STOP to any message you receive from us. You will receive a single confirmation message, and no further messages will be sent unless you re-subscribe.

Carrier Liability: Carriers are not liable for delayed or undelivered messages.

6. Third-Party Integrations

The Service integrates with third-party platforms including Google (Calendar, Drive), Slack, Jira, GitHub, Zoho, Stripe, and others. By connecting these services:

• You authorize GearHead to access and interact with your data on those platforms
• You remain subject to the terms of service of each third-party provider
• We are not responsible for the availability or functionality of third-party services
• You can disconnect integrations at any time through Settings

7. AI-Generated Content

GearHead uses artificial intelligence to generate responses, content, and recommendations. You acknowledge that:

• AI outputs may not always be accurate, complete, or appropriate
• You are responsible for reviewing and verifying AI-generated content before use
• AI suggestions do not constitute professional advice (legal, medical, financial, etc.)
• Generated content should be reviewed for accuracy before sharing externally

8. Intellectual Property

Our Property: The Service, including its design, features, code, and branding, is owned by Media Mechanic LLC and protected by intellectual property laws.

Your Content: You retain ownership of content you create or upload. By using the Service, you grant us a limited license to process, store, and display your content as necessary to provide the Service.

Generated Content: Content generated by the AI based on your inputs is yours to use, subject to applicable laws and third-party rights.

9. Payment and Billing

Certain features of the Service may require payment. If you subscribe to a paid plan:

• You agree to pay all fees associated with your selected plan
• Subscriptions renew automatically unless cancelled
• Prices may change with 30 days notice
• Refunds are provided at our discretion

10. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless Media Mechanic LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and associated data
• Provisions that should survive termination will remain in effect

14. Governing Law

These terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Washington County, Oregon.
